Dreamster Terms and Conditions

Contents

Effective / Updated: September 22, 2026

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dreamster DAO LLC, a Wyoming limited liability company registered in Cheyenne, Wyoming, United States ("Dreamster," "Company," "we," "our," or "us").

These Terms govern your access to and use of Dreamster Music, Dreamster Radio, associated websites and applications, User and Artist/Label accounts, wallet-related functionality, Digital Music Albums, payment and withdrawal features, artist-upload tools, rewards, Perks, and related services (collectively, the "Platform").

By creating an account, accessing the Platform, accepting an Artist/Label Agreement, uploading content, purchasing or receiving a DMA, transferring a DMA, selling a DMA back, withdrawing proceeds, or otherwise using Dreamster, you acknowledge that you have read, understood, and agreed to these Terms and any feature-specific terms that apply to your activity.

IMPORTANT KYC ACCESS AND WITHDRAWAL RULE

Creating a Dreamster account does not by itself authorize music uploads or DMA purchases. Artist and Label accounts must successfully complete required identity verification/KYC before upload privileges are enabled. Fans and other purchasers must successfully complete the KYC required for the selected purchase method before a DMA purchase can be completed. Purchase approval does not guarantee later eligibility to withdraw or off-ramp proceeds to a bank account; Bridge.xyz and other applicable providers may require separate approval. Additional verification may be required as described below.

If you do not agree to these Terms, you must not use the Platform.

1. Incorporated Policies and Order of Control

These Terms should be read together with Dreamster’s then-current Privacy Policy, Digital Music Album (DMA) Purchase Terms & Risk Disclosure, Artist/Label Upload, Distribution and Rights Agreement, per-upload Artist/Label Rights Certification, Cookie disclosures where applicable, and other notices presented through the Platform (collectively, the "Additional Terms").

Additional Terms form part of your agreement with Dreamster when you use the feature to which they apply. If a provision of these Terms conflicts with a more specific provision in Additional Terms, the more specific provision controls for that feature or transaction to the extent of the conflict.

Dreamster may require separate electronic acceptance of Additional Terms, including the Artist/Label Agreement, per-upload certification, DMA Purchase Terms, or updated material terms.

2. Account Types, Eligibility and Access Levels

2.1 General Accounts

Dreamster may permit Users to create accounts for browsing, listening, discovering music, managing profiles, accessing supported wallet functionality, and using other non-transactional features. Certain features may remain unavailable until identity, age, geographic, rights, or transaction eligibility requirements are satisfied.

2.2 Artist and Label Accounts

An Artist, Label, Licensor, Distributor, or other Uploader may create an account and begin completing profile and onboarding information; however, the account may not upload, submit, publish, list, deploy, monetize, or otherwise make music available as a DMA until the required Dreamster identity verification/KYC has been successfully completed and Dreamster has enabled upload privileges.

Dreamster may use a designated identity-verification provider for Artist/Label onboarding, which may include Didit.me or another provider disclosed through the Platform. Passing KYC does not by itself approve any song, catalog, rights claim, or DMA listing. Each upload remains subject to the Artist/Label Agreement, rights documentation, AI/music-integrity screening, and per-upload certification requirements.

2.3 Fan and Purchaser Accounts

A Fan or other User may browse eligible Platform content without completing a purchase KYC flow where Dreamster permits. A Fan may not complete a DMA purchase until the KYC required for the selected purchase method has been successfully completed.

For a purchase funded from a connected cryptocurrency or digital-asset wallet, Dreamster requires the applicable Didit.me KYC flow before the first eligible wallet-funded DMA purchase. For eligible credit-card or debit-card purchases, the User must complete the KYC required through Dreamster’s Wert integration before the first eligible card-funded purchase.

2.4 No Right to Bypass Gated Features

Users may not bypass or attempt to bypass KYC, upload, purchase, withdrawal, sanctions, geographic, risk, age, identity, or other access controls by using false information, another person’s identity, alternate or duplicate accounts, nominees, intermediary wallets, unauthorized bank accounts, VPN or location masking intended to misrepresent eligibility, or other circumvention methods.

3. Identity Verification and KYC

3.1 KYC Is a Condition of Certain Features

Dreamster uses risk-based identity verification and KYC controls to protect the Platform, comply with legal and provider requirements, prevent fraud, and reduce money-laundering, sanctions, terrorist-financing, identity-theft, and other financial-crime risks.

A User who fails, refuses, abandons, or is unable to satisfy a required KYC process may be unable to upload music, purchase DMAs, withdraw or off-ramp proceeds, use certain wallet or payment features, or access other restricted functionality.

3.2 Purchase KYC by Transaction Method

Connected cryptocurrency or digital-asset wallet purchase: Didit.me verification is required before the first eligible wallet-funded DMA purchase.

Credit-card or debit-card purchase: Wert’s applicable initial KYC/identity-verification process is required before the first eligible card-funded DMA purchase.

Bank payout, off-ramp, or fiat withdrawal of eligible DMA sale/sell-back proceeds: Bridge.xyz onboarding and KYC are required before the first eligible bank payout or withdrawal.

3.3 Artist/Label KYC

Artist and Label accounts must successfully complete Dreamster’s required account-level KYC before upload functionality is enabled. Dreamster may require legal-name, business/entity, representative-authority, beneficial-ownership, government-identification, address, liveness/selfie, sanctions/watchlist, or other verification information where applicable.

3.4 Separate Provider Requirements

KYC completed for one provider or transaction path does not automatically satisfy another provider’s requirements. Didit.me, Wert, Bridge.xyz, Dreamster, a bank, payment provider, or applicable authority may independently require additional information or review. Approval by Wert for a card-funded purchase, or completion of a Dreamster/Didit identity-verification flow, does not guarantee that Bridge.xyz or any bank will approve the User for a later off-ramp, fiat withdrawal, or bank payout.

3.5 Re-Verification and Enhanced Due Diligence

Dreamster intends an applicable initial KYC process to serve as the User’s onboarding verification for that transaction path; however, Dreamster or a third-party provider may require re-verification, refreshed documents, enhanced due diligence, source-of-funds review, wallet ownership confirmation, beneficial-ownership information, or other information when reasonably required by law, provider rules, transaction limits, changes in User information, suspicious activity, sanctions risk, account security, or other compliance concerns.

4. Digital Music Albums

Dreamster enables authorized artists, labels, licensors, and rights holders to make eligible music available through the Platform as Digital Music Albums ("DMAs"). A DMA is a blockchain-based digital asset associated with music and related Platform functionality.

4.1 Consumer Music Product; Not an Equity or Ownership Interest

Dreamster designs and offers DMAs as consumer-facing digital music products that provide access to music and, where applicable, artist-created Perks, experiences, content, transfer functionality, and other Platform utility. A DMA does not represent stock, membership interest, partnership interest, debt, a deposit, a share of Dreamster, a share of an artist or label, or an ownership interest in any business enterprise.

4.2 No Profit-Sharing, Revenue-Sharing, Dividend, Royalty, or Governance Rights

A DMA does not entitle the holder to dividends, royalties, profit-sharing, revenue-sharing, a share of Dreamster revenue or profits, a share of an artist's or label's business profits, voting rights, governance rights, liquidation rights, creditor rights, or distributions based on Dreamster's managerial or entrepreneurial efforts. Artist Perks are consumer benefits and experiences and do not create a right to Dreamster, artist, or label business profits.

4.3 No Securities Offering or Investment Solicitation

Dreamster does not offer or market DMAs as stocks, bonds, notes, investment contracts, securities, investment funds, or passive-income products, and Users must not market, promote, resell, or describe DMAs as guaranteed or expected investments, profit opportunities, securities, or instruments that will appreciate because of Dreamster's or any artist's future managerial efforts. Dreamster makes no representation that a DMA will be classified in any particular manner by any governmental authority. The legal characterization of any transaction depends on the applicable facts, circumstances, law, and regulatory guidance.

4.4 Consumer Purpose; No Reliance on Managerial Efforts for Profit

Users should acquire DMAs for music ownership/access, collection, Platform functionality, artist engagement, Perks, transferability where available, and other consumptive or entertainment purposes described for the applicable DMA—not in reliance on a promise by Dreamster, an artist, a label, or another person to generate profit through future managerial or entrepreneurial efforts. No statement by Dreamster personnel, an artist, a label, an influencer, or another User may override this Section unless contained in a separate written agreement expressly authorized by Dreamster and compliant with applicable law.

A DMA may provide the holder with access to music, Platform functionality, artist-provided benefits, rewards, experiences, downloadable or token-gated content, or other rights specifically described for that DMA.

Unless Dreamster expressly states otherwise in writing, acquiring a DMA does not transfer ownership of the underlying musical composition, sound recording copyright, master rights, publishing rights, songwriter rights, trademarks, artist name or likeness, merchandising rights, royalty ownership, or other intellectual-property rights.

Artists, labels, publishers, songwriters, licensors, producers, performers, and other applicable rights holders retain their respective intellectual-property and contractual rights.

5. DMA Pricing, Smart-Contract Economics and Risk

5.1 Pricing

DMA pricing may be determined through a smart contract, bonding curve, algorithmic pricing model, supply-and-demand mechanism, liquidity conditions, or other methodology displayed through the Platform. Prices can increase or decrease and different Users may transact at different prices. Pricing mechanics are a method of determining transaction price for a consumer digital music product; they are not a promise or guarantee of investment appreciation, profit, market support, or future liquidity.

5.2 Smart-Contract Allocations

Dreamster does not charge a separate Dreamster transaction fee on top of the displayed DMA purchase price solely for buying or selling a DMA where Dreamster’s compensation is already incorporated into the applicable smart-contract economics. The amount paid for a DMA may be distributed automatically among artists or rights holders, Dreamster, liquidity, reserves, rewards, collaborators, treasury functions, or other programmed allocations.

5.3 No Guaranteed Value or Return

DMA VALUE CAN INCREASE OR DECREASE

Dreamster does not guarantee price appreciation, profit, investment return, minimum value, resale value, sell-back value, continuous liquidity, future demand, artist popularity, continued artist participation, continuous provider availability, or the ability to convert a DMA or related proceeds into fiat currency.

A User may lose some or all economic value associated with a DMA. Platform information such as price, price history, supply, market activity, popularity, demand, artist information, or transaction data is not individualized investment, financial, legal, accounting, or tax advice.

6. DMA Purchases

6.1 Purchase Terms

Every DMA purchase is subject to the then-current DMA Purchase Terms & Risk Disclosure, the price and fees displayed before confirmation, applicable KYC approval, geographic and sanctions eligibility, provider requirements, and blockchain/network conditions.

PURCHASE KYC DOES NOT GUARANTEE A BANK OFF-RAMP

A User may qualify to purchase a DMA through Wert or another approved purchase method and later be unable to qualify for a Bridge.xyz bank withdrawal or another regulated off-ramp. Purchase eligibility and withdrawal eligibility are separate. Dreamster does not guarantee that a User who can buy a DMA will later be eligible to convert proceeds to fiat currency or receive them in a bank account.

6.2 Credit and Debit Card Purchases Through Wert

Dreamster may integrate Wert to facilitate eligible credit-card, debit-card, fiat, or other supported purchase methods. Wert is an independent third-party provider and controls its own KYC, payment, transaction, eligibility, refund, limit, and compliance requirements.

A User may not complete an eligible card-funded DMA purchase through the Wert payment path until the required initial Wert KYC has been successfully completed. Wert may later require additional or renewed verification.

6.3 Cryptocurrency Wallet Purchases Through Didit.me KYC

Before the first DMA purchase funded from a connected cryptocurrency or digital-asset wallet, the User must successfully complete Dreamster’s applicable KYC flow through Didit.me. Dreamster may also conduct wallet-risk, sanctions, fraud, and compliance review before permitting or completing a transaction.

6.4 Wallet Transaction Finality and Refunds

Blockchain transactions are generally irreversible after successful confirmation. Except where applicable law requires otherwise, Dreamster does not provide a refund solely because a User changes their mind, purchases the wrong DMA or quantity, uses an incorrect address or network, sends an unsupported asset, loses wallet access or credentials, or later experiences a decrease in DMA value.

Card-provider refunds or failed transactions are subject to the applicable provider’s rules and the status of the underlying blockchain transaction. Dreamster does not guarantee that a third-party provider will issue a refund in every circumstance.

7. Wallets, Transfers and Blockchain Activity

Dreamster may provide or facilitate account-associated or decentralized wallet functionality. Users are responsible for protecting their credentials, devices, passwords, private keys, recovery phrases, and authentication methods and for reviewing transaction details before authorization.

Users should use Dreamster-supported transfer functionality when transferring DMAs or other supported assets. Transfers to an external, incompatible, incorrect, or unsupported wallet, blockchain, or address may result in permanent loss of access or functionality.

7.1 Legitimate DMA Transfers

Where Dreamster permits DMA transfers, a User may transfer a DMA to another eligible User for a legitimate ownership-transfer purpose, subject to Platform functionality, applicable law, sanctions screening, fraud controls, and any transfer restrictions associated with the DMA. A transfer does not transfer the sender’s KYC status, withdrawal approval, or other provider eligibility to the recipient.

7.2 No Transfer to Circumvent KYC or Cash-Out Restrictions

A User may not transfer a DMA, digital asset, wallet, account, or transaction to another person for the purpose of avoiding identity verification, sanctions screening, AML/CFT controls, geographic restrictions, bank-withdrawal restrictions, provider eligibility requirements, or another compliance control. A User may not ask or arrange for a friend, family member, nominee, intermediary, business, agent, or other person to receive a DMA, sell it, off-ramp it, withdraw it, or return proceeds to the original User in order to bypass a restriction that applies to the original User.

Dreamster may delay, block, restrict, investigate, or reject a transfer that Dreamster reasonably believes is intended to circumvent KYC, sanctions, AML/CFT, fraud, banking, withdrawal, or provider requirements.

Public blockchain records may include wallet addresses, transaction identifiers, asset identifiers, balances, transfers, timestamps, smart-contract activity, and related metadata. Blockchain information may be publicly visible and may be difficult or impossible for Dreamster to alter or delete.

7A. Stablecoin Payment Rails; GENIUS Act Compliance

7A.1 Use of Third-Party Stablecoins

Dreamster may use or integrate supported U.S.-dollar-denominated payment stablecoins and stablecoin-based payment infrastructure to facilitate settlement, transfers, purchases, sell-backs, wallet movements, or off-ramping. Dreamster does not represent that it is the issuer of any third-party payment stablecoin merely because a stablecoin is used within a Dreamster transaction flow. Stablecoins used through Bridge.xyz or another provider are subject to the issuer's and provider's own terms, reserves, redemption procedures, eligibility rules, compliance controls, and applicable law.

7A.2 GENIUS Act Framework

Dreamster intends to structure supported payment-stablecoin activity consistently with the Guiding and Establishing National Innovation for U.S. Stablecoins Act (the “GENIUS Act”), 12 U.S.C. 5901 et seq., implementing regulations as they become effective, and other applicable federal and state law. Where applicable, Dreamster may limit supported stablecoins to payment stablecoins issued by issuers that are permitted, registered, approved, or otherwise eligible for the relevant activity under applicable law and provider requirements. Dreamster may suspend or discontinue support for a stablecoin or provider if Dreamster reasonably determines that continued support could create legal, regulatory, sanctions, financial-crime, operational, or consumer-protection risk.

7A.3 Dreamster Is Not the Stablecoin Issuer Unless Expressly Disclosed

Unless Dreamster expressly identifies itself in writing as the issuer of a particular payment stablecoin, Dreamster is acting only as a Platform operator or integrator of third-party payment and blockchain infrastructure and does not undertake the reserve-management, redemption, issuance, or regulatory obligations of the third-party stablecoin issuer. Nothing in these Terms should be interpreted as a representation that Dreamster-issued DMAs or DSTER are payment stablecoins.

7A.4 No Interest or Yield for Holding Payment Stablecoins

Dreamster does not promise Users interest, yield, passive return, or other consideration solely for holding, using, or retaining a supported payment stablecoin on the Platform. Any third-party stablecoin feature that is legally characterized as yield-bearing, interest-bearing, or otherwise outside the treatment applicable to payment stablecoins may be restricted, disabled, or governed by separate terms and regulatory requirements.

7A.5 Stablecoins Are Payment and Settlement Tools, Not Dreamster Investments

A supported payment stablecoin is used as a payment, settlement, transmission, or store-of-value mechanism within applicable transaction flows. Dreamster does not market supported payment stablecoins as investments in Dreamster, and holding a supported stablecoin does not provide ownership, voting, revenue-sharing, profit-sharing, or governance rights in Dreamster. Dreamster does not guarantee that any stablecoin will maintain its intended value, remain redeemable, remain legally available, or remain supported by Bridge.xyz, its issuer, or any other provider.

7A.6 Bridge.xyz and Other Providers

Bridge.xyz may provide stablecoin orchestration, wallet, conversion, payment, compliance, and off-ramp infrastructure. Bridge.xyz and any stablecoin issuer, bank, custodian, payment processor, or other provider involved in a transaction are independent third parties and may impose separate KYC, AML/CFT, sanctions, source-of-funds, geographic, transaction-limit, custody, redemption, or eligibility requirements. Dreamster cannot waive or override those requirements.

8. Selling or Selling Back DMAs

Where available, Dreamster may permit eligible DMA holders to sell or sell back a DMA through the applicable smart contract, bonding curve, or liquidity mechanism. The resulting value may differ materially from the original purchase price or a previously displayed price.

Dreamster does not guarantee continuous sell-back functionality, unlimited liquidity, immediate execution, a minimum sell-back value, or that a displayed value will remain available until execution.

Before confirmation, Dreamster will display transaction information reasonably available for the sell-back, which may include quantity, current gross sell-back value, network or processing fees, and estimated proceeds. The User accepts the displayed transaction information by confirming the transaction.

Where Platform functionality permits, a User who is eligible to sell or sell back a DMA but is not eligible for a bank off-ramp may be permitted to retain resulting supported digital-asset or stablecoin proceeds in the User’s own Dreamster-supported wallet or account. This does not create a right to a bank withdrawal and remains subject to KYC, sanctions, AML/CFT, wallet, jurisdictional, security, and provider requirements. Dreamster is not required to provide a digital-asset withdrawal method unless that feature is actually offered and available to the User.

9. Off-Ramping, Provider-Specific KYC and Bank Payments

9.1 Bridge.xyz Bank Off-Ramp

Dreamster may integrate Bridge.xyz to allow eligible Users to convert supported digital assets, stablecoin proceeds, DMA sale proceeds, or DMA sell-back proceeds into fiat currency and send eligible funds to an approved bank account.

Before a User may complete an eligible bank payout, withdrawal, or off-ramp through Bridge.xyz, the User must successfully complete Bridge.xyz customer onboarding and KYC and satisfy Bridge.xyz’s applicable sanctions, geographic, banking, payment-rail, transaction-limit, and compliance requirements.

Bridge.xyz may request legal name, address, date of birth, contact information, government identification, taxpayer or national identification information where applicable, bank information, wallet information, source-of-funds information, purpose of transaction, and other compliance documentation. Bridge.xyz may approve, reject, delay, limit, or request additional information from a User.

9.2 Provider-Specific Approval

KYC approval is provider-specific and feature-specific. Successful KYC or transaction approval by Wert for a card purchase does not constitute Bridge.xyz approval for an off-ramp. Completion of a Dreamster or Didit.me identity-verification process does not require Wert, Bridge.xyz, a bank, or another provider to approve that User. Dreamster cannot override an independent provider’s legally required compliance or eligibility determination.

9.3 No Guarantee of Withdrawal Eligibility

IMPORTANT OFF-RAMP RISK

A User may successfully purchase, receive, hold, or sell a DMA and still be unable to qualify for a bank withdrawal. Purchasing a DMA does not guarantee that proceeds can later be converted to fiat currency or deposited into a bank account.

A provider may deny or restrict a withdrawal because of identity-verification results, document issues, unsupported geography, sanctions or watchlist concerns, source-of-funds review, transaction risk, banking restrictions, provider policy, legal requirements, or other eligibility conditions. Dreamster does not guarantee Bridge.xyz approval, continuous Bridge.xyz availability, continuous banking-provider availability, or a specific bank-deposit time.

9.4 What a User May Do if an Off-Ramp Is Unavailable

If a User cannot satisfy Bridge.xyz or another authorized off-ramp provider’s requirements, the User may, subject to Platform functionality, the User’s account status, and applicable law:

  • correct, supplement, or resubmit verification information where the applicable provider permits;
  • continue holding the DMA in the User’s own account or wallet;
  • continue using lawful DMA holder benefits and Platform functionality available to the User;
  • sell or sell back the DMA where otherwise eligible, provided any resulting proceeds remain subject to applicable withdrawal, wallet, KYC, sanctions, AML/CFT, and provider restrictions; and
  • transfer the DMA through an authorized Dreamster transfer function to another eligible User for a legitimate ownership-transfer purpose that is not intended to circumvent KYC, sanctions, AML/CFT, geographic, banking, or withdrawal restrictions.

Dreamster is not required to provide a bank withdrawal method to a User who does not satisfy the applicable provider’s KYC, compliance, jurisdictional, banking, or eligibility requirements.

9.5 No Nominee or Intermediary Cash-Out

A User who cannot qualify for an off-ramp may not ask, direct, compensate, or arrange for another person or entity to cash out, withdraw, sell, or off-ramp a DMA or its proceeds on the User’s behalf for the purpose of bypassing a restriction. Prohibited arrangements include using another person’s Bridge.xyz account, bank account, identity, KYC approval, wallet, nominee account, intermediary account, or other credentials to obtain proceeds for the restricted User.

A legitimate recipient who independently owns a transferred DMA is subject to the recipient’s own KYC and eligibility requirements. The recipient may not act as a conduit to return fiat or digital-asset proceeds to the sender as part of a plan to avoid restrictions applicable to the sender.

9.6 No Refund Solely Because an Off-Ramp Is Unavailable

Except where required by applicable law or expressly provided by Dreamster’s applicable refund rules, a User’s inability to satisfy Bridge.xyz or another provider’s KYC, banking, geographic, sanctions, or off-ramp requirements after a successfully completed DMA purchase does not by itself create a right to cancel, reverse, rescind, or obtain a refund of the original purchase.

9.7 Additional Verification and Compliance Holds

Dreamster or an applicable provider may request additional or renewed KYC, enhanced due diligence, source-of-funds information, wallet-ownership verification, bank-ownership information, transaction purpose, supporting documents, or other information. Where reasonably necessary and permitted by law, Dreamster may delay or restrict a transaction or applicable feature while required compliance review is pending.

9.8 Compliance Restrictions Control

Nothing in these Terms requires Dreamster to permit a purchase, holding, transfer, sale, sell-back, wallet movement, withdrawal, or other activity when Dreamster or an applicable provider determines that restriction is required or appropriate because of sanctions, terrorist-financing risk, money laundering, fraud, stolen funds, false identity, prohibited jurisdiction, account compromise, court order, governmental request, regulatory requirement, provider obligation, or other applicable legal or compliance concern.

10. Artist/Label Upload Eligibility and Rights

10.1 KYC Before Any Upload

ARTIST/LABEL UPLOAD GATE

An Artist or Label may sign up for Dreamster, but cannot upload any music or enable DMA publishing until the account has passed Dreamster’s required KYC and Dreamster has activated upload privileges. This KYC gate applies before the first upload and may be reapplied if re-verification becomes necessary.

10.2 Artist/Label Agreement Required

Before uploading music, the Artist, Label, Licensor, Distributor, or other Uploader must accept Dreamster’s then-current Artist/Label Upload, Distribution and Rights Agreement and must comply with the per-upload Artist/Label Rights Certification.

10.3 Necessary Rights and Accurate Disclosures

An Uploader must own, control, license, or otherwise possess all rights, permissions, consents, releases, and authorizations necessary for the specific uses granted to Dreamster. An Uploader must accurately disclose material third-party-controlled rights, limitations, samples, interpolations, beats, producer contributions, featured performers, collaborators, publishing information, artwork rights, territory restrictions, and other information requested by Dreamster.

Dreamster may request rights documentation, split sheets, producer agreements, featured-artist releases, sample or interpolation clearances, beat licenses, artwork permissions, label or distribution authorization, catalog acquisition records, or other chain-of-title evidence. Dreamster may reject, restrict, suspend, disable, demonetize, or remove content when requirements are not satisfied or a bona fide rights or compliance concern exists.

10.4 Per-Upload Certification

Each music upload is a separate certification event. The Uploader must affirmatively certify the rights and information for that specific upload and agree that the Artist/Label Agreement, including its indemnification, defense, reimbursement, reserve, takedown, audit, and dispute provisions, applies to that content.

11. No AI-Generated Music and Automated Music Integrity Screening

11.1 Prohibition on AI-Generated Audio

NO AI-GENERATED MUSIC

Dreamster does not allow AI-generated audio to be uploaded, listed, published, monetized, or deployed as a DMA. An Uploader must truthfully certify that the submitted audio is not AI-generated and must not knowingly use unauthorized synthetic, cloned, or simulated voices, likenesses, performances, or protected material.

11.2 Screening Tools

Dreamster may use automated and AI-assisted music-integrity tools to analyze uploaded audio and related content before or after publication. Screening may include AI-generated-audio detection, synthetic or cloned-voice indicators, audio fingerprinting, file hashing, duplicate-content matching, technical/acoustic analysis, metadata review, ISRC or identifier checks, prior-upload matching, fraud detection, and other content-integrity methods.

11.3 Screening Is Not a Guarantee

Automated screening supports Dreamster’s compliance and rights-management process but does not guarantee that content is lawful, authentic, human-created, non-infringing, or free from third-party claims. Dreamster may supplement automated screening with human review and may request evidence of human authorship, human performance, recording provenance, source files, session records, rights documents, or other supporting information.

11.4 No Circumvention

Users may not alter, transcode, manipulate, obfuscate, mislabel, or otherwise process audio or metadata for the purpose of defeating Dreamster’s AI-generated-music detection, duplicate detection, provenance review, or other screening controls. Attempts to bypass screening may result in rejection, suspension, termination, loss of upload privileges, investigation, and other lawful action.

12. Artist Perks and Fan Benefits

Artists may make benefits, rewards, experiences, merchandise, exclusive content, stems, access, or other features ("Perks") available to eligible DMA holders. Artists are responsible for accurately describing and lawfully fulfilling their Perks.

Users may not manipulate, counterfeit, duplicate, interfere with, exploit, or circumvent systems used to determine Perk eligibility. Artists may not offer illegal goods or services, controlled substances, stolen or counterfeit property, fraudulent products or services, or other prohibited or unlawful items as Perks.

12A. DSTER Platform Reward Token

12A.1 Reward and Utility Purpose

Dreamster may award or credit DSTER tokens to eligible Users as a promotional, loyalty, engagement, or Platform-utility reward. DSTER is intended to be used in connection with eligible Dreamster Platform features, benefits, promotions, services, or other utility that Dreamster may make available from time to time. Unless expressly disclosed in separate legally compliant offering documents, Dreamster does not offer DSTER as an investment product or as a method of raising capital from Users.

12A.2 No Equity, Debt, Profit Share, Dividend, Interest, or Governance Rights

Holding DSTER does not, by itself, provide stock, equity, membership, partnership, creditor, debt, revenue-sharing, royalty, dividend, interest, yield, liquidation, governance, or voting rights in Dreamster DAO LLC, Dreamster Network, any affiliate, any artist, any label, any music catalog, or any other business or person. DSTER does not entitle a User to a share of Dreamster's profits, revenues, reserves, treasury, enterprise value, or the proceeds of a sale of Dreamster.

12A.3 No Promise of Appreciation, Liquidity, Redemption, or Market

Dreamster does not promise or guarantee that DSTER will increase in value, have any particular market value, be listed on any exchange or trading venue, have a secondary market, remain transferable, be redeemable for fiat currency or stablecoins, be repurchased by Dreamster, or generate any return. Any transfer functionality that Dreamster enables is a technical feature and is not a promise of liquidity, market support, appreciation, or investment return.

12A.4 No Reliance on Dreamster's Managerial Efforts for Profit

DSTER is intended for consumptive and Platform-utility use. Users should not obtain or hold DSTER with an expectation of profits to be derived from Dreamster's essential managerial or entrepreneurial efforts. Dreamster personnel and Users may not market DSTER as a guaranteed investment, passive-income opportunity, equity substitute, profit-sharing arrangement, or security.

12A.5 Reward Terms May Change

Subject to applicable law and any rights already vested in a completed transaction, Dreamster may modify eligible activities, reward rates, supported uses, transfer functionality, technical standards, redemption or utility features, geographic availability, or other DSTER functionality. Dreamster may also restrict, pause, or discontinue DSTER functionality where reasonably necessary for legal, regulatory, security, sanctions, AML/CFT, fraud, market-integrity, or operational reasons.

12A.6 DSTER Is Not a Payment Stablecoin

DSTER is not designed to maintain a fixed one-to-one value with the U.S. dollar and is not represented by Dreamster as a “payment stablecoin” under the GENIUS Act. The stablecoins used as payment or settlement rails on the Platform are separate from DSTER. Dreamster will not describe DSTER as a dollar substitute, bank deposit, insured deposit, or guaranteed store of value.

12A.7 Securities-Law Reservation

Dreamster intends DSTER rewards and utility to be structured and communicated consistently with applicable federal and state securities laws and then-current regulatory guidance. No provision of these Terms is a legal determination that DSTER, a DMA, or any particular transaction is or is not a security. If a regulator, court, or applicable law requires registration, exemption, restriction, modification, disclosure, geofencing, transfer limitations, or discontinuation of a feature, Dreamster may take the action reasonably necessary to comply.

13. Dreamster Radio

Approved music submitted to Dreamster may be made available, promoted, previewed, featured, or aired through Dreamster Radio and other Dreamster-operated promotional channels in accordance with the permissions granted by the applicable artist or rights holder and the Artist/Label Agreement.

Dreamster may process artist names, song titles, artwork, music metadata, DMA-related information, links, identifiers, and other information associated with identifying or promoting music through Dreamster Radio.

14. Privacy, Data Processing and Records

14.1 Privacy Policy

Dreamster’s Privacy Policy describes how Dreamster collects, uses, discloses, protects, retains, and otherwise processes information in connection with the Platform. By using Dreamster, you acknowledge the data practices described in the Privacy Policy.

14.2 KYC and Financial-Compliance Data

Depending on the feature used, Dreamster and its service providers may process legal name, date of birth, address, country or residency information, government identification, identification numbers, selfies or liveness information, verification results, sanctions/watchlist results, device or IP information, wallet information, bank information, transaction data, source-of-funds information, purpose-of-transaction information, fraud-risk information, and other compliance data.

14.3 Artist Upload and AI-Screening Data

For Artist/Label uploads, Dreamster may process audio files, artwork, metadata, rights documents, contributor information, music identifiers, content hashes or fingerprints, acoustic/technical characteristics, AI/synthetic-content indicators, duplicate-content matches, screening classifications, review status, provenance materials, review notes, and related records.

Dreamster may retain content fingerprints, hashes, screening results, rights records, acceptance records, and review history after rejection or removal where reasonably necessary to prevent repeat prohibited uploads, fraud, circumvention, rights disputes, litigation, audits, or legal/compliance obligations.

14.4 Public and Permanent Records

Certain blockchain information and decentralized-storage records may be public or effectively permanent. Users should not intentionally publish highly sensitive personal information to a public blockchain or permanent storage system unless specifically required.

15. Fraud, AML/CFT, Sanctions and Anti-Terrorism Compliance

15.1 Prohibited Financial Crime

Dreamster prohibits use of the Platform for money laundering, terrorist financing, terrorism support, sanctions evasion, fraud, theft, criminal proceeds, identity fraud, deceptive transaction structuring, unauthorized account use, or other unlawful financial activity.

15.2 Sanctioned and Prohibited Parties

Dreamster does not permit transactions by or for persons, entities, organizations, wallet addresses, counterparties, or jurisdictions that are prohibited under applicable sanctions, anti-terrorism, trade, financial-crime, or other applicable laws or provider requirements. This includes persons or organizations designated on applicable terrorism or sanctions lists and jurisdictions that Dreamster or its providers are legally prohibited from serving.

15.3 Monitoring and Screening

Dreamster and its third-party providers may use KYC, identity verification, sanctions screening, wallet screening, blockchain analytics, transaction monitoring, source-of-funds review, fraud detection, device/IP analysis, geographic restrictions, enhanced due diligence, and other risk-based compliance controls.

15.4 Legal Measures and Cooperation

If Dreamster reasonably suspects that a User is attempting to use the Platform illegally or to evade applicable controls, Dreamster may, to the extent permitted or required by law and applicable provider arrangements, reject or delay transactions, restrict purchases or withdrawals, suspend or terminate accounts, disable upload or transaction privileges, preserve records, require additional information, restrict access to disputed amounts, coordinate with financial or compliance providers, respond to lawful process, and report suspected unlawful activity to appropriate governmental, regulatory, sanctions, financial-intelligence, or law-enforcement authorities.

Dreamster may be prohibited by law from explaining certain compliance actions, reports, investigations, or legal requests to the affected User.

16. Third-Party Providers

Dreamster may use independent third-party providers for identity verification, payments, off-ramping, wallet infrastructure, authentication, banking services, blockchain analytics, sanctions screening, fraud prevention, hosting, cybersecurity, customer support, analytics, and AI/audio content-integrity screening.

Providers may include Didit.me for designated identity-verification flows, Wert for eligible card-funded purchases, Bridge.xyz for eligible off-ramping and bank payouts, and other providers disclosed through the Platform or Privacy Policy. These providers operate under their own terms, privacy policies, eligibility rules, compliance obligations, geographic restrictions, transaction limits, and service availability.

Dreamster does not guarantee approval, continuous availability, pricing, processing speed, or uninterrupted operation of any third-party service.

17. Taxes

DMA purchases, sales, sell-backs, transfers, rewards, digital-asset conversions, withdrawals, artist earnings, and other Platform activity may create tax consequences. Users are responsible for determining their own tax treatment, keeping appropriate records, making required filings, and paying applicable taxes. Dreamster does not provide individualized tax advice.

18. Protection of Dreamster Technology and Platform Integrity

Dreamster’s software, smart contracts, user interfaces, branding, algorithms, economic mechanisms, transaction logic, pricing methodologies, liquidity mechanisms, databases, workflows, designs, and related Platform technology are owned by or licensed to Dreamster DAO LLC or its licensors.

Except as expressly permitted by Dreamster or required by applicable law, Users may not copy or reproduce proprietary software, reverse engineer proprietary components, scrape or systematically extract proprietary Platform data, circumvent technical protections, use automated systems to replicate proprietary functionality, interfere with security or screening systems, misappropriate confidential business information, or obtain unauthorized access to Dreamster systems.

19. Content, Conduct and Platform Abuse

Users may not use Dreamster to upload, publish, transmit, purchase, sell, transfer, promote, or facilitate content or activity that violates applicable law, infringes third-party rights, contains unauthorized copyrighted material, involves fraud or impersonation, violates Dreamster’s no-AI-music rule, facilitates prohibited financial crime, or materially interferes with Platform security or operation. Users also may not market or describe any DMA, DSTER reward, supported stablecoin, or other Platform feature as guaranteed profit, guaranteed appreciation, profit-sharing, equity, a share of Dreamster, or a security offering unless Dreamster has expressly authorized that communication in a separate legally compliant offering.

Dreamster may investigate, restrict, reject, remove, suspend, demonetize, or disable content or functionality where reasonably necessary to enforce these Terms, protect Users or rightsholders, respond to legal claims, preserve Platform integrity, or comply with law or provider requirements.

20. Account Suspension, Termination and Feature Restrictions

Dreamster may restrict, suspend, or terminate an account or specific feature privileges for material or repeated violations of these Terms or Additional Terms, failed or fraudulent KYC, sanctions or compliance issues, false rights certifications, AI-generated audio, attempts to bypass screening, repeat infringement, fraudulent submissions, chargeback or payment abuse, account compromise, unauthorized transactions, security threats, failure to cooperate with a material investigation, or other conduct creating material legal or Platform risk.

Termination does not require Dreamster to reverse completed blockchain transactions or delete records that Dreamster is required or permitted to retain. Public blockchain or permanent decentralized records may remain available after account deletion or termination.

21. Disclaimers and Platform Availability

To the maximum extent permitted by applicable law, the Platform is provided on an "as available" basis. Dreamster does not guarantee uninterrupted operation, uninterrupted blockchain networks, continuous liquidity, continuous availability of a specific artist, content, wallet, KYC provider, payment provider, bank, off-ramp, or other third-party service.

Dreamster does not guarantee that automated screening, fraud controls, sanctions screening, blockchain analytics, or other detection systems will identify every prohibited, fraudulent, unlawful, infringing, synthetic, or AI-generated item or transaction.

22. Electronic Acceptance and Records

By clicking "I Agree," "Agree & Continue," "Confirm Purchase," "Confirm Sell-Back," "Confirm Withdrawal," "Certify Rights & Upload," or another substantially similar electronic action, you agree that electronic acceptance may evidence your consent and create a legally binding agreement to the applicable terms.

Dreamster may retain the applicable agreement version, date and time, account identifier, acceptance event, transaction identifier, upload fingerprint/hash, KYC status, and other appropriate audit information. Feature-specific electronic records may be retained as described in the Privacy Policy and Additional Terms.

23. Changes to the Platform and These Terms

Dreamster may modify Platform features, pricing methodologies, transaction structures, rewards, sell-back mechanisms, liquidity mechanisms, KYC procedures, third-party providers, AI/content-integrity screening processes, geographic availability, or other functionality from time to time. Dreamster may also modify, restrict, geofence, suspend, or discontinue stablecoin, DSTER, DMA transfer, sell-back, reward, wallet, or other digital-asset functionality in response to the GENIUS Act, federal securities laws, commodities laws, money-transmission requirements, Treasury or banking regulations, SEC or CFTC interpretations or rules, court decisions, provider requirements, or other changes in applicable law or regulatory treatment.

Dreamster may update these Terms by posting or presenting an updated version in accordance with applicable law. Material changes may require renewed electronic acceptance. Continued use after an update becomes effective constitutes acceptance to the extent permitted by law.

24. General Legal Terms

24.1 Severability

If a provision of these Terms is held invalid, illegal, or unenforceable in a particular jurisdiction, that provision will be enforced to the maximum extent permitted by applicable law and the remaining provisions will remain in effect.

24.2 No Informal Waiver

No Dreamster employee, contractor, moderator, support representative, or other person may waive mandatory KYC, the no-AI-generated-music rule, the Artist/Label Rights Certification, sanctions/compliance controls, or transaction requirements by informal email, chat, support message, or oral statement. Any authorized exception must be documented in writing by Dreamster and must comply with applicable law.

24.3 Assignment and Business Changes

Dreamster may assign or transfer these Terms in connection with a merger, reorganization, financing, acquisition, sale of assets, transfer to an affiliate or successor, or similar business transaction, subject to applicable law. Users may not assign rights under these Terms in a manner that circumvents account, KYC, rights, transfer, or other restrictions.

24.4 Mandatory Law

Nothing in these Terms waives a right or protection that applicable law does not permit the parties to waive. Dreamster may provide jurisdiction-specific terms, notices, restrictions, or procedures when required.

24.5 Governing-Law and Feature-Specific Dispute Terms

Certain separately accepted agreements, including the Artist/Label Agreement, may contain their own governing-law, arbitration, forum, or dispute-resolution provisions. Those provisions control disputes arising under the applicable feature-specific agreement. These Terms do not override mandatory statutory rights or jurisdictional protections that cannot lawfully be waived.

APPENDIX A - Artist/Label Signup and Upload Access Notice

Recommended placement: immediately after an Artist or Label selects an Artist/Label account type and again before upload functionality is first enabled.

ARTIST/LABEL KYC REQUIRED BEFORE UPLOAD

You may create and configure your Dreamster Artist/Label account, but you cannot upload or publish music until Dreamster confirms that you have successfully completed required KYC/identity verification. After KYC approval, every upload remains subject to the Artist/Label Agreement, rights certification, required documentation, and Dreamster’s no-AI-generated-music screening.

☐ I understand that Artist/Label KYC approval is required before I can upload music.

☐ I understand that passing KYC does not approve my music or my ownership/rights claims.

☐ I understand that Dreamster does not allow AI-generated music and may use automated tools to scan my uploads for AI-generated or synthetic audio and other integrity risks.

☐ I agree to the Dreamster Terms and acknowledge the Privacy Policy.

APPENDIX B - Fan / Purchaser KYC Notice

Recommended placement: before the User’s first DMA purchase flow begins.

KYC REQUIRED BEFORE A DMA PURCHASE

You may browse Dreamster without purchasing, but you cannot complete a DMA purchase until the KYC required for your selected payment method is successfully completed. Wallet-funded purchases require the applicable Didit.me verification; eligible credit/debit-card purchases require the applicable Wert KYC. Additional verification may be required for compliance or security.

☐ I understand that KYC is required before I can purchase a DMA.

☐ I understand that the KYC provider may process identity and compliance information under its own privacy terms.

☐ I understand that DMA values can increase or decrease and Dreamster does not guarantee profit, liquidity, or resale value.

☐ I understand that successfully completing purchase KYC does not guarantee that I will qualify for a future Bridge.xyz bank off-ramp or other withdrawal method.

☐ I understand that I may not transfer a DMA to another person for the purpose of having that person cash out or withdraw proceeds on my behalf to bypass a KYC, banking, sanctions, or withdrawal restriction.

☐ I agree to the Dreamster Terms, DMA Purchase Terms & Risk Disclosure, and acknowledge the Privacy Policy.

APPENDIX C - Bank Withdrawal / Off-Ramp Notice

BRIDGE.XYZ KYC REQUIRED FOR BANK PAYOUTS

Selling or selling back a DMA does not automatically authorize a bank withdrawal. Before eligible proceeds can be off-ramped or sent to an approved bank account, the User must complete Bridge.xyz onboarding and KYC and satisfy Bridge.xyz eligibility and compliance requirements. Approval to purchase through Wert, or completion of Dreamster/Didit identity verification, does not guarantee Bridge.xyz approval.

☐ I understand that Bridge.xyz KYC and eligibility approval are required before an eligible bank payout.

☐ I understand that approval to purchase a DMA does not guarantee that I will qualify to withdraw or off-ramp proceeds to a bank account.

☐ I understand that if I cannot qualify for a bank off-ramp, I may continue to hold the DMA and may use other lawful Platform functionality that remains available to me, but Dreamster is not required to provide a bank withdrawal method.

☐ I understand that I may not use a friend, family member, nominee, intermediary, another person’s bank account, or another person’s KYC approval to bypass a withdrawal or compliance restriction.

☐ I understand that Bridge.xyz may request additional information and may delay, reject, or limit a transaction.

☐ I acknowledge the applicable fees, timing, and transaction details displayed before withdrawal confirmation.
